Honeywell Automotive Consumer Group to Sell to Private Equity Investment Company

Honeywell of the United States recently announced that private equity firm Rank Group will acquire its Automotive Consumer Products Group (CPG), with a cash transaction value of approximately US$950 million. The transaction must be approved by the regulatory authorities and the usual transaction conditions are met. It is expected to be completed in the third quarter of 2011. The company plans to count the CPG as a discontinued operation after it has been approved by the regulatory authorities. The guidance of the company for 2011 earnings per share does not include the expected book income from the sale of CPG. The company plans to use this book income for business transformation and other initiatives. The proceeds of these initiatives and the use proceeds from the sale of assets are expected to compensate for the losses that were made in 2011 and afterwards due to the sale of CPG.

CPG is headquartered in Danbury, Connecticut and employs more than 2,000 people. The group has four leading automotive consumer brands: FRAM® Filters, Prestone® Antifreeze, Autolite® Spark Plugs, and Holts® Automotive Care Products. CPG currently belongs to the Honeywell Transportation Systems Group and its 2010 sales were approximately $1 billion. The Transportation Systems Group includes Honeywell's turbocharger and friction material business. After the sale of the CPG, the Transportation Systems Group will continue to operate as one of Honeywell’s business units.
